Например, предположим, что компания XYZ заимствует 10 миллионов долларов у Bank A Банк А требует от Компании XYZ заложить все 7 млн. Долл. США своих заводских активов и некоторых своих ценных бумаг в качестве обеспечения по кредиту. Кредитное соглашение включает в себя предложение об отрицательном залоге.
Позже компания XYZ хочет заимствовать 2 млн. Долл. США у Банка Б. Банк Б хочет, чтобы Компания XYZ обязалась заложить 1 млн. Долл. США из заводских активов в качестве обеспечения по кредиту. Поскольку компания XYZ имеет соглашение об отрицательном залоге в своем кредитном соглашении с Банком A, Компания XYZ не может заложить залоговое обеспечение в размере 1 млн. Долл. США, поскольку это приведет к сокращению безопасности Банка А. Отрицательный положения о залоге, как правило, предназначены для обеспечения того, чтобы банк не пострадал от последующих действий заемщика.
